Sales Mama School Participant Agreement
This Participant Agreement ("Agreement") is entered into between Sales Mama, LLC, an Oregon limited liability company ("Company"), and ("Participant"), effective as of Jan 2, 2026.
1. Program Overview
Sales Mama School is a mentorship ecosystem and business growth program for women entrepreneurs and leaders designed to help you sell with confidence, scale strategically, and lead with clarity.
All participants receive access to:
- The Sales Mama School curriculum and replays
- The Sales Mama Circle (community platform) for accountability and support
- Tools, templates, and resources to support sales growth and leadership development
Depending on your selected tier, your enrollment may also include:
- Weekly or bi-weekly group trainings, Q&A, and implementation calls (schedule subject to change)
- Personalized mentorship, strategy sessions, audits, or 1:1 access
- Priority support channels and implementation assistance
- Bonus experiences, workshops, and VIP access (as applicable to your tier)
This program is designed for committed, growth-driven women who take full ownership of their business progress and results.
2. Investment & Commitment Terms
By enrolling, Participant agrees to pay the full program investment corresponding to the tier and payment plan selected at checkout.

Commitment Period:
- All tiers require a minimum commitment period as shown in the table above
- Your minimum commitment period is determined by the payment plan you select at enrollment
- Monthly payment members agree to their minimum 3-month commitment from date of enrollment
- Pay-in-full (PIF) members agree to their selected commitment period (3, 6, or 12 months)
- No cancellations are permitted during the minimum commitment period for any tier
All payment plans are binding financial agreements. Participant is responsible for completing all agreed payments regardless of participation level or results.
Auto-Renewal & Rate Lock:
- After completing the minimum commitment period, monthly memberships will automatically renew on a month-to-month basis at the enrollment rate
- Participants are locked in at the rate they enroll at for as long as they maintain continuous active enrollment
- Pay-in-full members who wish to continue after their commitment period may transition to monthly billing at their locked-in rate or re-enroll at current published pricing
- Participants will receive email notification 7 days prior to each renewal
- Rate lock is forfeited if Participant cancels, is removed for cause, or allows membership to lapse
Cancellation Policy:
- Participant may request cancellation only after completing their full minimum commitment period
- Cancellation requests must be submitted in writing to support@salesmama.biz at least 7 days before the next billing cycle
- Cancellations submitted with less than 7 days notice will be processed for the following billing cycle
- Cancellations are effective at the end of the current paid period
- No cancellations or early terminations are permitted during the minimum commitment period
- If Participant re-enrolls after cancellation, current published pricing will apply
Refunds & Early Termination:
- There are no refunds for any tier after enrollment, including pay-in-full enrollments
- There are no prorated refunds for any reason, including early cancellation, non-participation, dissatisfaction, or breach of contract by Participant
- Pay-in-full enrollments (3, 6, or 12 months) are non-refundable and non-cancellable for the entire commitment period
- Monthly payment enrollments are non-refundable and non-cancellable during the minimum 3-month commitment period
- If Participant stops participating, stops attending calls, or becomes inactive, no refund or credit will be issued
- The full commitment amount remains due regardless of Participant's level of engagement or satisfaction
Payment Terms:
- Monthly payments will be automatically charged on the same date each month via the payment method provided at enrollment
- It is Participant's responsibility to maintain valid and current payment information on file
- Participant must update payment information at least 5 business days before the next billing date
- Failure to maintain current payment information does not release Participant from payment obligations
Failed Payment Policy: If a scheduled payment fails for any reason:
- Access to all program materials, calls, community, and support will be immediately suspended
- Participant will be notified via email and given 72 hours to resolve the failed payment
- Participant must update payment information and submit payment within 72 hours to avoid additional fees
- A $50 late fee will be assessed for each failed payment
- A $100 reactivation fee will be charged to restore access after payment is brought current
- If payment is not resolved within 72 hours, the account may be closed and the full remaining balance of the commitment period will become immediately due
- Sales Mama, LLC reserves the right to pursue collection of unpaid balances through third-party debt collectors and legal action
- Participant will be responsible for all collection costs, legal fees, and court costs associated with collection efforts
Extenuating Circumstances: In cases of documented medical emergencies, death in immediate family, or other extraordinary life events, Participant may contact support@salesmama.biz to discuss payment arrangements prior to a payment failure. Sales Mama, LLC will review such requests on a case-by-case basis but is not obligated to grant accommodations. No accommodations will be considered after a payment has already failed.
Chargebacks or payment disputes will result in immediate removal from the program and may be pursued legally. If a chargeback or payment dispute occurs, Participant remains liable for the full outstanding balance plus all legal, collection, and administrative costs incurred by Sales Mama, LLC.
3. Access & Participation
Program access begins upon initial payment and continues through the duration of the Participant's selected commitment period, provided all payments remain current.
Participant is responsible for:
- Attending or reviewing all sessions and trainings available to their tier
- Actively engaging with available support channels
- Implementing strategies and requesting feedback as needed
- Communicating concerns promptly and professionally
Access to community spaces, live calls, curriculum, and resources will expire at the end of the chosen commitment period unless renewed. Sales Mama, LLC is not responsible for Participant's failure to access, download, or utilize available materials during their enrollment period.
4. Communication & Feedback
Participant agrees to communicate any concerns or dissatisfaction in writing within 14 days of occurrence to support@salesmama.biz.
Messages must include specific examples or documentation for the Company to review and address in good faith.
Sales Mama, LLC will make reasonable efforts to respond to and resolve concerns within 5-7 business days of receipt. Participant agrees to allow the Company a reasonable opportunity to address and resolve any issues before taking any external action.
If resolution is not achieved within 30 days of the initial complaint, the matter may proceed to dispute resolution per Section 12.
Failure to submit timely written communication within the 14-day window constitutes acceptance of services delivered to date and waiver of the right to dispute those services.
5. Program Access, Schedule & Modifications
All live sessions are recorded and made available for replay when applicable to your tier.
There are no extensions, substitutions, or make-up sessions for missed calls or events.
Sales Mama, LLC reserves the right to modify or substitute coaches, call schedules, support channels, or content as necessary to maintain program quality. Adjustments to delivery methods, materials, timing, tier-specific features, or bonus offerings may occur without notice.
Bonuses, retreat credits, workshops, and additional experiences referenced at time of enrollment are subject to availability and scheduling. Sales Mama, LLC will make good faith efforts to deliver all promised bonuses but reserves the right to substitute comparable value if original offerings become unavailable.
6. Retreat Credits & Bonus Experiences
Retreat credits, discounts, and bonus experiences included with enrollment must be scheduled and used within 18 months of initial enrollment date.
There are no extensions, carry-overs, or cash equivalents for unused retreat credits or bonuses.
Retreat attendance is subject to availability and must be booked according to Sales Mama, LLC scheduling policies and available retreat dates.
Failure to use retreat credits or bonuses within the 18-month window results in forfeiture with no refund or compensation.
Credits are non-transferable and may not be gifted, sold, or assigned to another person.
Retreat registration is first-come, first-served and subject to capacity limits. Sales Mama, LLC is not responsible if Participant is unable to attend preferred retreat dates due to capacity or scheduling conflicts.
7. Responsibilities & Expectations
Company Commitment: Sales Mama, LLC will provide high-quality mentorship, strategy, and accountability tools appropriate to each tier to support business growth, leadership, and sales confidence.
Participant Commitment: Participant agrees to:
- Take full responsibility for her progress and results
- Show up prepared and engaged to sessions available to her tier
- Implement strategies provided and seek support when needed
- Maintain professionalism, respect, and confidentiality in all program spaces
- Respect the time and boundaries of coaches, staff, and fellow participants
- Adhere to all community guidelines and standards of conduct
Community Standards & Removal Policy: Sales Mama, LLC maintains a professional, respectful, and supportive community environment. Violation of community standards, including but not limited to bullying, harassment, discriminatory behavior, disruptive conduct, or any behavior that creates an unsafe environment for other participants, will result in immediate removal from the program without refund or prorated credit.
Sales Mama, LLC reserves the right to immediately remove any Participant who engages in conduct that violates community guidelines or negatively impacts the program experience for others. Removal for cause does not entitle Participant to any refund, credit, or release from payment obligations.
8. Confidentiality & Intellectual Property
All materials, templates, curriculum content, recordings, and resources shared within Sales Mama School are proprietary to Sales Mama, LLC and protected by copyright.
Participant agrees not to share, sell, teach, reproduce, or distribute any program materials without prior written consent from Sales Mama, LLC.
This includes but is not limited to: sharing login credentials, downloading and redistributing course materials, teaching proprietary frameworks to others, or posting program content publicly.
Violation of this clause may result in immediate removal and legal action, including pursuit of damages.
9. Non-Disparagement
Participant agrees not to make or publish any false, negative, or disparaging statements about Sales Mama, LLC, its representatives, coaches, or affiliates, whether publicly or privately.
This includes but is not limited to social media, online reviews, third-party communications, and public forums.
Participant may provide honest feedback directly to Sales Mama, LLC but agrees not to publicly disparage the program, its staff, or other participants.
Violation of this clause may result in legal action and forfeiture of any goodwill, bonuses, or retreat credits.
10. Limitation of Liability & No Guarantee of Results
Sales Mama, LLC provides education, coaching, and mentorship services only.
Results vary based on Participant effort, experience, implementation, and numerous external factors beyond the Company's control.
No specific financial or business outcomes are guaranteed or implied.
Participant acknowledges that she is fully responsible for her own business decisions, results, and wellbeing.
Sales Mama, LLC and its representatives shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from participation in this program.
11. Force Majeure
Sales Mama, LLC shall not be held liable for any delay or failure to perform obligations under this Agreement due to events beyond its reasonable control, including but not limited to illness, technical issues, natural disasters, pandemics, government actions, or platform outages.
In the event of force majeure, Sales Mama, LLC will make reasonable efforts to reschedule or provide alternative access to missed sessions but is not obligated to provide refunds or extensions.
12. Dispute Resolution & Legal Venue
Any dispute or claim arising under this Agreement shall be resolved by binding arbitration in Jackson County, Oregon, governed by the laws of the State of Oregon.
Participant waives the right to trial by jury and agrees to pursue claims individually, not as part of any class action.
If Sales Mama, LLC is the prevailing party, Participant agrees to pay all attorney's fees, arbitration costs, and related expenses.
13. Severability
If any provision of this Agreement is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.
14. Entire Agreement
This document represents the entire understanding between Participant and Sales Mama, LLC.
No verbal agreements, external representations, or marketing materials shall modify these terms unless in writing and signed by both parties.
Participant acknowledges that enrollment bonuses, retreat credits, and promotional offers are subject to the terms outlined in this Agreement and do not alter the core commitment terms or refund policy.
15. Acknowledgment
By enrolling and submitting payment, Participant acknowledges that she has read, understood, and agrees to all terms outlined in this Agreement.
Participant understands this enrollment represents a professional and financial commitment to her growth and participation within Sales Mama School.
Participant confirms she has had the opportunity to ask questions and seek independent legal counsel if desired before agreeing to these terms.
Participant acknowledges that this is a membership-style program with automatic renewal after the minimum commitment period is complete, and that she is responsible for submitting cancellation requests in accordance with the terms outlined in Section 2.
